Thales USA, Inc. is the U.S. holding and coordinating company for Thales S.A.'s American operations, headquartered at 2733 South Crystal Drive, Arlington, Virginia. It is 100% owned by Thales S.A. (Euronext Paris: HO), the French defence and technology group, and is not independently traded. Federal contracting records give a January 1976 incorporation date and a Delaware incorporation; its SAM registration reports headcount above 1,500. Parent Thales reported roughly €20.6 billion in 2024 sales and about 83,000 employees across 68 countries.

Through U.S. subsidiaries it supplies aerospace, defence and security technology: communications systems, in-flight entertainment, encryption and digital-identity products, air traffic management — notably the FAA's ILS-420 instrument landing systems, for which it is prime contractor under a single-award FAA vehicle — and, historically, rail signaling and CBTC integrated transportation systems. Customers include the U.S. DoD, NASA, the FAA and transit agencies.

Litigation posture: operating company, not an NPE. Both tracked matters stem from the same dispute over the New York MTA's ultra-wideband train-control program. In Metrom Rail, LLC v. Siemens Mobility, Inc. et al. (D. Del., filed Jan. 13, 2022), Thales USA was named a co-defendant alongside Siemens Mobility, Thales Transport & Security, Humatics and Piper. The court found direct-infringement allegations plausible as to Siemens and Thales, dismissed them as to Humatics and Piper, and severed the defendant groups; Thales USA was terminated from that docket on April 6, 2022. Thales appears on the petitioner side in the mirrored PTAB proceeding Siemens Mobility, Inc. et al. v. Metrom Rail, LLC (2023), which challenged Metrom's UWB collision-avoidance and worker-protection patents (U.S. 8,812,227 and 9,043,131), both later held obvious in part.

Context: Metrom Rail is itself an operating rail-safety company (Lakemoor, Illinois), not a shell licensor, though it has filed a series of suits against rail suppliers. The Thales rail-signaling entity involved was renamed Ground Transportation Systems USA, Inc. and subsequently became Hitachi Rail GTS USA Inc. following Hitachi's acquisition of Thales's GTS business.
