It was launched in April 2018 as a jointly owned venture between Roivant Sciences and Arbutus Biopharma. Genevant is an operating technology company, not a shell. Its business is lipid nanoparticle (LNP) and ligand-conjugate (GalNAc) delivery technology for RNA-based medicines — mRNA, RNAi and gene-editing payloads. Under an April 2018 cross-license with Arbutus, it holds an exclusive, sublicensable worldwide license to Arbutus's LNP and GalNAc patent estate for all fields other than hepatitis B virus and certain exclusions, and it sublicenses that technology to partners and pursues its own RNA programs. Arbutus's LNP platform (125+ international patent families) is used in Alnylam's Onpattro (patisiran).

Genevant is an active two-way litigant, consistent with its case data (4 as plaintiff, 10 as defendant). It is the co-plaintiff with Arbutus in LNP enforcement suits against COVID-19 vaccine makers, and a defendant in Acuitas Therapeutics' 2022 patent suits (S.D.N.Y., D.N.J.) concerning LNP technology. Its affirmative cases have been filed in the District of Delaware and the District of New Jersey rather than the Eastern District of Texas.

Most prominent: Arbutus/Genevant v. Moderna (D. Del., filed Feb. 2022), resolved in March 2026 by a global settlement of up to $2.25 billion ($950 million upfront plus a contingent $1.3 billion), with Moderna consenting to judgments of infringement and no invalidity on four patents. Arbutus/Genevant v. Pfizer and BioNTech (D.N.J., filed April 2023) remains pending, with related Canadian and Unified Patent Court actions added in 2026.
