BioPay, LLC was a privately held biometric-payments company headquartered in Herndon, Virginia, founded around 1999–2000 (PitchBook lists its successor entity's founding as 1999). It was acquired by San Francisco–based rival Solidus Networks, Inc., which did business as Pay By Touch Solutions, for $82 million in stock and cash — announced December 2005, completed January 2006. At the time of the deal, press reports put BioPay at 74 employees; financials were not disclosed. No public ticker or parent ownership predates the acquisition.
Products and operations. BioPay built fingerprint-authentication systems for financial transactions at retail points of sale. Its flagship line, BioPay Paycheck Secure, let check-cashing merchants verify customers via fingerprint templates linked to a national database, reducing check-fraud losses. A second product, marketed as bCheck, enabled in-lane ACH payments: consumers enrolled with a bank account number and finger scans, then authorized purchases by touch, with funds debited through the automated clearing house. The company charged merchants roughly 9–30 cents per transaction depending on product and volume. By late 2005 it reported about 2 million enrolled consumers, roughly 1,600 retail locations across 42 states, and more than $7 billion in processed transactions, with clients including Bi-Lo LLC, Marsh Supermarkets, and Lowe's Food Stores.
Patent-litigation posture. BioPay appears in the database as a true two-way litigant: one plaintiff case and one defendant case, both in the U.S. District Court for the District of Delaware — not an Eastern District of Texas NPE pattern. Both suits are tied to the same dispute with Solidus Networks.
Notable cases. On January 18, 2005, BioPay sued Solidus Networks in Delaware seeking a declaratory judgment that Solidus's biometric patents were invalid and not infringed. Solidus countersued on February 15, 2005, alleging infringement. BioPay reportedly held no issued patents at the filing date (it received its first patent in late 2005, covering use of negative customer data to set transaction fees) while Pay By Touch claimed 24-plus issued patents. The litigation ended when Pay By Touch acquired BioPay and its patent portfolio. Pay By Touch later sold the Paycheck Secure business to a management-led group, Phoenix Check Cashing Inc., in 2008; the business subsequently operated as AllTrust Networks and was acquired by Valsoft Corporation in 2020.
